Enterprise software giant Salesforce has reached a definitive agreement to acquire customer engagement platform Braze in an all-cash transaction valued at approximately $5.66 billion in enterprise value. Under the terms of the deal, Braze Class A shareholders will receive $47.50 per share in cash, representing a 58% premium over the stock's pre-announcement closing price.

Following the news, Braze shares surged roughly 51% to trade near $45.50, while Salesforce shares dipped slightly as investors digested the financial terms.

Strategic Integration with Salesforce Marketing Cloud and Agentforce

The acquisition is designed to integrate Braze’s real-time event-streaming, mobile engagement, and automated messaging infrastructure directly into Salesforce’s core ecosystem, including Marketing Cloud, Data 360, Customer 360, and the Agentforce AI framework.

Key operational highlights driving the transaction include:

  • Real-Time Consumer Messaging: Braze processes trillions of user actions annually for roughly 2,770 enterprise brands, including Canva, Instacart, Urban Outfitters, and Venmo, delivering hyper-personalized messaging across mobile apps, email, SMS, and WhatsApp.

  • Accelerated Growth Profile: Braze posted a 26% year-over-year revenue increase in its fiscal quarter ending July 31, providing Salesforce with an actively expanding B2C engagement layer rather than a turnaround project.

  • Leadership Continuity: Braze Chief Executive Officer Bill Magnuson will continue leading the unit inside Salesforce, with the standalone Braze brand remaining intact post-closing.

Transaction Valuation and Financial Structure

The $47.50 cash per share purchase price values Braze at approximately five times its projected fiscal 2028 revenue. While the 58% premium provides immediate value to recent public market investors, the buyout price sits roughly 27% below Braze's initial $65.00 IPO price from 2021, highlighting broader valuation shifts across public software vendors since the 2021 market peak.

Salesforce plans to fund the entire $5.66 billion purchase price using balance sheet cash, requiring no external debt facilities or financing contingencies. The agreement includes reciprocal termination fee covenants, requiring Salesforce to pay $300 million if regulatory approvals are blocked, while Braze would owe $191.4 million if it accepts a superior competing proposal.

Salesforce confirmed that its fiscal 2027 financial outlook remains unchanged, with the transaction expected to close during its fiscal 2028 (calendar year 2027) pending customary regulatory and shareholder approvals.

The transaction marks one of Salesforce’s largest software acquisitions in recent years following its purchase of Informatica.
